These Terms of Service (“Terms”) govern your access to and use of the websites, software, applications, and services (collectively, the “Services”) provided by Sagetree (“Sagetree,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Description of the Services

Sagetree provides consulting and business-automation services, including internal software integrations that connect Sagetree’s business systems (such as email, banking notifications, and accounting software) to streamline bookkeeping and operations. Certain integrations access third-party platforms, including Intuit QuickBooks Online, solely to record and reconcile Sagetree’s own financial transactions.

2. Authorized Use

The Services, including any connected integrations, are operated by Sagetree for its own internal business purposes. Access is limited to Sagetree and its authorized personnel. You agree to use the Services only for lawful purposes and in accordance with these Terms.

3. Third-Party Services

The Services may interoperate with third-party platforms (for example, Intuit QuickBooks Online, Google, and banking providers). Your use of those platforms is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services. We access third-party data only as authorized and only to provide the Services described above.

4. Accounts and Security

You are responsible for maintaining the confidentiality of any credentials used to access the Services and for all activity that occurs under them. Notify us promptly of any unauthorized use or suspected security breach.

5. Intellectual Property

The Services and all related software, content, and materials are owned by Sagetree or its licensors and are protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services as authorized. No other rights are granted.

6. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any data processed will be accurate or complete. The Services do not constitute accounting, tax, legal, or financial advice.

7. Limitation of Liability

To the maximum extent permitted by law, Sagetree shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising out of these Terms or the Services shall not exceed one hundred U.S. dollars (US $100).

8. Indemnification

You agree to indemnify and hold harmless Sagetree from any claims, damages, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.

9. Changes to the Services and Terms

We may modify or discontinue the Services, or update these Terms, at any time. Changes become effective when posted on this page with an updated “Last updated” date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

10. Termination

We may suspend or terminate access to the Services at any time, with or without cause or notice. Provisions that by their nature should survive termination will survive.

11. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles.
